Terms of service

Eligibility

You must be at least 18 years old and able to form a binding contract to use CutroomOS.

Private beta

CutroomOS is currently available as an invitation-only private beta. During the beta:

• The Service is provided free of charge unless we tell you otherwise before you use a paid feature.
• Features may change, be limited or be removed, and the Service may be unavailable at times. We do not offer uptime or support commitments.
• We may need you to update the app or re-index videos as the Service improves.
• We monitor service logs and requests to find and fix problems, as described in our Privacy policy. Monitoring covers how the Service is working; we do not look at your videos, transcripts, questions or answers when we do it.
• We may end the beta or your access to it. If we do, we will try to give you reasonable notice.

We welcome feedback about the beta. Please keep features we have not announced publicly to yourself.

Your account

Keep your sign-in details secure and your account information accurate. You are responsible for activity under your account. Tell us promptly if you believe it has been used without your permission.

Using the app

We grant you a personal, non-exclusive, non-transferable, revocable license to install and use the CutroomOS app on Macs you own or control, in line with these terms. You may not:

• copy, modify, distribute, sell or rent the app, or reverse engineer it except where the law allows despite this restriction;
• get around usage limits, access controls or the scope of an assistant connection;
• access the Service by automated means other than the MCP connection we provide, or overload or disrupt it;
• use the Service or its output to build a competing product.

Your Content

You keep all rights to your videos and to everything derived from them, including transcripts, search results and answers (“Your Content”). Your original video files stay on your Mac.

You give us permission to host, copy, process and transmit Your Content only as needed to provide, secure and support the Service for you, including through our service providers. This permission ends when you remove Your Content or close your account, except for copies kept in backups for the period described in our Privacy policy.

We do not use Your Content to train or fine-tune AI models, and we do not authorize our service providers to do so.

You confirm that you have the rights and permissions needed to use Your Content with CutroomOS, including any consent required from people who appear in your recordings.

AI output

Search results, descriptions, transcripts and answers are generated by AI. They can be incomplete or wrong, and similar output may be given to other users. Each result links to its source moment so you can check it. Review output before relying on it, especially for decisions that matter, and do not treat it as professional advice.

Acceptable use

You may not use CutroomOS to:

• process content that is unlawful, or that you do not have the right to use;
• process content that sexually exploits or endangers children;
• identify people by their face, voice or other biometric traits, or infer sensitive characteristics such as health, ethnicity, religion or sexual orientation;
• monitor, track or profile people without their knowledge or a lawful basis;
• harass, defame, discriminate against or harm anyone;
• distribute malware or attempt to breach the security of the Service or other users;
• violate any law or anyone else’s rights.

We may suspend processing or access if we reasonably believe these rules have been broken.

Assistants and third-party services

You can connect AI assistants through MCP. You choose what each connection can read, and you can revoke it at any time. Information sent to an assistant is handled by that assistant’s provider under its own terms, and we are not responsible for third-party services.

Plans and payment

The private beta is free unless we tell you otherwise. When paid plans become available, the price, billing period and any usage limits will be shown before you buy. Payments will be processed by our payment provider as merchant of record, and taxes may apply. Refunds are covered by our Refund policy.

Our intellectual property and feedback

The Service, including the app, software, design and CutroomOS name and logo, belongs to us and our licensors. These terms do not give you any rights to them except the license above.

If you send us feedback or suggestions, we may use them without obligation to you.

Copyright complaints

If you believe material made available through the Service infringes your copyright, email admin@cutroomos.com with a description of the work, where the material appears, your contact details and a statement that you have a good-faith belief the use is not authorized.

Suspension and termination

You can stop using CutroomOS at any time and ask us to delete your account. We may suspend or end your access if you break these terms, if needed to protect the Service or others, if required by law, or when the private beta ends.

When your access ends, your license to use the app ends and we delete your data as described in our Privacy policy. Sections that by their nature should continue — including Your Content, AI output, disclaimers, limitation of liability, indemnity and governing law — survive.

Disclaimers

The Service, especially during the private beta, is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and that the Service or its output will be accurate, complete, uninterrupted or error-free.

Limitation of liability

To the extent the law allows, CutroomOS will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim and US$100.

Nothing in these terms limits liability that cannot be limited by law, or rights you have as a consumer that cannot be waived.

Indemnity

If you use CutroomOS for business purposes, you will defend and indemnify CutroomOS against claims arising from Your Content or your breach of these terms, to the extent the law allows.

Governing law and disputes

These terms are governed by the laws of India, without regard to conflict-of-law rules. Disputes will be resolved in the courts at Bengaluru, Karnataka, unless the law of the country where you live as a consumer gives you the right to bring proceedings there.

Changes to these terms

We may update these terms. We will post the new version here with a new date and, for material changes, tell you by email or in the app before they take effect. If you keep using the Service after that, the new terms apply.

General

These terms and the policies they refer to are the entire agreement between you and us about the Service. If any part is found unenforceable, the rest stays in effect. Not enforcing a provision is not a waiver. You may not transfer these terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets. You must comply with applicable export control and sanctions laws.
